These Terms & Conditions govern your use of Owzo Freight’s brokerage services. Please read them carefully before booking shipments.

Welcome to Owzo Freight. By booking shipments or using our platform, you agree to these Customer Terms & Conditions. If you do not agree, please do not use the Services. If any conflict exists between these Terms and a signed master agreement with Owzo, the signed agreement controls.

Plain-English Summary (non-binding): Quotes are based on info you give us, extra services cost extra, Carriers—not Owzo—are responsible for cargo, and invoices are due per terms. For full obligations and limits, read the detailed sections below.

1) Scope & Parties

These Customer Terms & Conditions (the “Terms”) apply to all transportation brokerage and related services (“Services”) provided by Owzo Freight(“Owzo,” “we,” “us,” or “our”) to the entity or person booking the shipment (“Customer”). Owzo acts solely as a federally licensed property broker that arranges transportation by independent motor, air, ocean, rail, and intermodal carriers (each, a “Carrier”). Owzo is not a motor carrier or freight forwarder and does not assume Carrier obligations.

2) Definitions

  • BOL (Bill of Lading): Document issued at pickup describing the goods and evidencing receipt by the Carrier.
  • Accessorials: Additional charges outside base line-haul (e.g., detention, layover, redelivery).
  • Consignee/Consignor: Party receiving/sending the shipment.
  • HazMat: Hazardous materials regulated under applicable law.

3) Quotes, Bookings & Cancellations

  • Quotes: Non-binding estimates based on information Customer provides (weight, class, dimensions, NMFC, equipment, locations, dates, special services). Rates may change if actuals differ.
  • Booking: A shipment is confirmed when Owzo issues a written confirmation or digital booking record. Customer is responsible for accuracy of all shipment details.
  • Cancellations/No-Shows: If Customer cancels after a truck is en route/arrived or freight is unavailable at pickup, applicable truck order not used (“TONU”) or layover fees apply.

4) Rates, Charges & Accessorials

  • Base rates exclude accessorials, fuel surcharge, tolls, lumper, storage, reconsignment, appointment fees, or government charges unless expressly included.
  • Accessorials are billed at the higher of (i) quoted/posted schedule or (ii) Carrier-assessed amounts incurred to complete the service.
  • Reweigh/reclass, oversize/overweight, limited access, residential, inside delivery, liftgate, and similar charges may apply as determined by Carrier conditions.

5) Credit & Payment

  • Invoices are due pursuant to the invoice terms (net terms if approved; otherwise due upon receipt). Late balances may accrue a service charge as permitted by law and reasonable collection costs.
  • Customer may not short-pay, set off, or withhold amounts for claims or disputes unrelated to the invoiced shipment without Owzo’s written consent.
  • Owzo may suspend or withhold Services for past-due accounts and may require prepayment or security.

6) Customer Responsibilities

  • Provide complete and accurate shipment details; properly package, mark, and label freight; and comply with all applicable laws, including HazMat, weight, and securement requirements.
  • Ensure safe loading/unloading conditions and that freight is ready at the scheduled time. Additional wait time may incur detention/layover.
  • Do not tender prohibited or illegal goods. HazMat requires advance written disclosure and compliance documentation.

7) Pickup, Delivery & Transit

  • Transit times are estimates and not guarantees unless expressly agreed in writing. Weather, traffic, strikes, government actions, capacity, or other events may impact schedules.
  • Missed appointments, refused/partial deliveries, reconsignment, device returns (e.g., pallets, load bars), and redelivery are subject to accessorial charges.
  • Title and risk of loss pass per the governing bill of lading and applicable law. Customer is responsible for accurate counts and descriptions on the BOL.

8) Claims & Limits of Liability

  • Carrier Responsibility: Loss, damage, or delay claims are governed by the Carrier’s applicable tariff, the bill of lading, and governing law (e.g., U.S. Carriage of goods statutes). As a broker, Owzo is not a Carrier and does not assume Carrier liability.
  • Filing Claims: Customer must inspect freight at delivery and note exceptions on the BOL. Claims must be filed with the Carrier within the required deadlines. Owzo can assist in facilitating claims as a courtesy but is not the insurer.
  • Liability Limits: Recovery is limited to the lesser of (a) Carrier’s contractual or statutory limit, (b) released value declared, or (c) the actual cargo loss proven, subject to exclusions/defenses. Consequential or special damages are excluded to the fullest extent permitted by law.
  • Salvage & Mitigation: Customer must reasonably mitigate loss and cooperate in salvage and inspection procedures.

9) Insurance

  • Carriers are expected to maintain cargo and auto liability insurance customary for their operations. Owzo is not an insurer and does not provide cargo insurance by default.
  • Customer may request ship-specific cargo insurance (at additional cost) before booking. Additional coverage is not effective unless confirmed in writing by Owzo.

10) Compliance & Legal Controls

  • Customer warrants shipments do not violate sanctions, export/import controls, or other government restrictions and will provide required documentation.
  • Customer is responsible for accurate customs data, duties/taxes, and compliance for cross-border moves.

11) Lien & Setoff

Owzo and Carriers may assert a general lien on freight and related documents for sums due for any shipment. If charges remain unpaid, freight may be stored and sold as permitted by law, with proceeds applied to charges and expenses.

12) Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including but not limited to acts of God, severe weather, labor disputes, government actions, cyber events, or network outages. Charges incurred to safeguard or complete transportation during such events may apply.

13) Confidentiality & Data

Non-public information disclosed in connection with the Services is confidential and may be used only to perform obligations under these Terms. Personal data is handled per Owzo’s Privacy Policy.

14) Indemnity

Customer shall indemnify and hold harmless Owzo, its affiliates, and personnel from claims, damages, fines, and costs arising out of Customer’s breach of these Terms, violation of law, or inaccurate shipment information, except to the extent caused by Owzo’s gross negligence or willful misconduct.

15) Limitation of Liability

To the fullest extent permitted by law, Owzo is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages (including lost profits, business interruption, or loss of market), even if advised of the possibility. Owzo’s aggregate liability arising from the Services shall not exceed the amounts paid to Owzo for the shipment giving rise to the claim.

16) Changes to Services & to these Terms

Owzo may modify Services or these Terms at any time by posting an updated version. The then-current Terms apply to new bookings after the effective date of the update.

17) Governing Law; Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona.

18) Miscellaneous

  • Severability: If any provision is held invalid, the remainder remains in effect.
  • No Waiver: Failure to enforce a provision is not a waiver of future enforcement.
  • Assignment: Customer may not assign rights or obligations without Owzo’s written consent.
  • Headings: Headings are for convenience only.
  • Entire Agreement: These Terms, along with booking confirmations and any written addenda, constitute the entire agreement regarding the Services.
